Intern Company Secretary
Your role:
As an Intern- Company Secretary at Philips India, you shall be providing support in corporate governance, legal compliance, and administrative matters. You’ll work closely with the company’s management team, shareholders, board of directors, auditors and other stakeholders. The following responsibilities shall have to be taken care for parent company and its affiliates both in India and abroad:
Responsibilities:
Board Meetings/Committee and General Meetings and Documentation:
Assist in preparing and circulating Board Meeting agendas, shareholder notices, resolutions, and minutes.
Maintain records of board proceedings.
Arrangement of Board/Committee and General Meetings, including co-ordination with RTA etc.
Statutory Compliance:
Ensure proper and timely filing of statutory e-forms, MGT-14, DIR-12, MSME, DPT-3 and others as may become applicable
Maintenance of statutory registers and records, minutes etc.
Ensuring FEMA compliances, FLA filings etc.
Compliance with IEPF matters viz. transfer of shares to IEPF account, transfer of funds due to IEPF account, IEPF-5 etc.
CSR Activities
Co-ordination with CSR NGO partners, viz. reviewing CSR activities being carried out, verification of invoices etc.
Formulating CSR Annual Action Plan, budget, agreements with NGO partners, monitoring of CSR expenditure and other CSR compliances.
Agreements and Legal Drafting:
Assist in preparing NCLT (National Company Law Tribunal) matters under the Companies Act.
Drafting and vetting of statutory governance documents viz. Annual report, policies etc.
Annual Filing:
Support the preparation and filing of annual documents and forms including XBRL filing.
Stakeholder Relations:
Facilitate communication between the company and its shareholders.
Handle investor queries and maintain positive relationships.
Interact with government bodies and regulatory authorities
Any other matter ongoing or may come up w.r.t. corporate laws.

Educational Background : Pursuing or recently completed a Company Secretary (CS) course.
Technical Knowledge : Familiarity with legal and regulatory requirements and strong hold on MS Word and Excel.
Attention to Detail : Precision in maintaining records and documentation.
Communication Skills : Ability to work effectively with stakeholders.
