Job Description:

ZEISS Group in India is seeking a dynamic and experienced individual to join our team as the Head of Legal and Compliance. In this role, you will be responsible for ensuring legal compliance and risk management across all aspects of our operations in India. Reporting to the Chief Financial Officer, you will play a crucial role in safeguarding the company’s interests while upholding the highest ethical standards.

Key Responsibilities:

Head of Legal and Compliance must demonstrate the highest of level integrity and transparency in all their conduct. He/She should be perceived as a brand ambassador and a role model in building a culture of compliance and openness within the organization. Their primary responsibilities will include,

• Legal Compliance: Develop, implement, and oversee compliance programs to ensure adherence to applicable laws, regulations, and industry standards. Monitor changes in legislation and proactively update internal policies and procedures accordingly. Should be adept at managing risks & compliances associated with large manufacturing operations in India.

• Risk Management: Identify legal and regulatory risks associated with business operations and develop strategies to mitigate such risks. Conduct risk assessments and provide guidance to management on risk avoidance and mitigation measures.

• Contract Management: Review, draft, and negotiate a wide range of contracts, including commercial agreements, vendor contracts, and employment agreements. Ensure that contractual arrangements follow legal requirements and aligned with company objectives.

• Corporate Governance: Advise the executive team and board of directors on matters related to corporate governance, including board governance, Foreign Direct Investments and regulatory filings. Ensure compliance with corporate governance principles and best practices.

• Dispute Resolution: Manage legal disputes and litigation matters, including coordinating with external counsel and representing the company in negotiations, mediations, and courtroom proceedings. Seek timely and cost-effective resolutions to legal disputes.

• Ethics and Compliance Training: Develop and deliver training programs on legal and compliance topics to employees at all levels of the organization. Promote a culture of ethics and compliance throughout the company.

• Government Relations: Build and maintain effective relationships with government authorities, industry associations, and regulatory bodies. Represent the company’s interests in discussions with government stakeholders and participate in relevant industry forums.

• Data Privacy and Security: Ensure compliance with data privacy laws and regulations, including GDPR and local data protection laws. Develop and implement data privacy policies and procedures to safeguard sensitive information.

• Stakeholder Management: Co-ordinate with multiple stakeholders and work cross-functionally with clarity and intent. Provide thought leadership for strategic companywide initiatives to mitigation risks and improve compliance, in alignment with global teams.

Qualifications:

• Accredited Degree in Indian Law from a recognized institution; master’s degree preferred.
• Minimum of 10 years of experience in legal and compliance roles, preferably in a multinational corporation or law firm.
• In-depth knowledge of Indian laws and regulations, particularly in areas such as corporate law, labor law, commercial contracts, intellectual property, and regulatory compliance.
• Strong leadership skills with the ability to influence and collaborate effectively across functions and levels of the organization.
• Excellent communication and interpersonal skills, with the ability to articulate complex legal concepts in a clear and concise manner.
• Proven track record of handling legal matters with integrity, professionalism, and sound judgment.
• Relevant certifications or memberships in professional legal associations would be an advantage.
