This attorney will be managing legal, company secretarial and compliance matters for Elanco India and Bangladesh.
This attorney will be providing strategic and operational legal, compliance and corporate secretarial support, covering a broad and diverse range of matters e.g. commercial, manufacturing, litigation, competition law, anti-corruption, regulatory, environmental, compliance and investigations. This attorney will serve on the Elanco India’s Lead Team.
Primary Function:
1. Company Secretary:
Act as Company Secretary for the Elanco India affiliate
Overall responsibility for Secretarial, Legal & Compliance for Elanco India & Bangladesh.
Ensure that the organization is conducting its business in accordance with applicable laws, rules and regulations, and follows highest standards of corporate governance.
Ensure compliance with corporate governance requirements (e.g. Board procedures), regularly review and provide guidance to the Directors on their responsibilities.
Ensure compliance with the Company Law requirements.
2. Legal:
Responsible for providing strategic and operational legal counsel regarding a broad range of legal affairs, including commercial, employment, litigation, competition law, anticorruption, regulatory, environmental and other legal matters.
Drafting, reviewing and negotiating contracts in all areas of the business
Develop training plan and provide legal training to staff.
Proactively participate on Elanco India & Bangladesh lead teams.
Monitor and supervise external counsels and legal spend.
Oversee IP legal support by collaborating with IP legal team.
Oversee Regulatory & Litigation legal support by collaborating with Regulatory & Litigation legal team.
Other tasks as designated by supervisor.
3. Compliance:
Develop and deliver the implementation of compliance policies, procedures, and practices across the affiliate and cluster.
Develop, implement, and coordinate education and training programs that focus on the elements of the corporate-wide compliance program, particularly related to key values, policies, and procedures.
Providing strategic direction to the management team on compliance, interacting with regulators on compliance issues and coordination efforts related to audits, reviews, and examinations.
Function as an integral part of the investigation working group, and utilize internal and external investigative and audit resources by (1) ensuring investigations are handled promptly, fairly and resolved consistently, (2) ensuring matters appropriate for investigation receive timely follow-up, and (3) providing guidance on or leading investigations.
Legal & Compliance Training
Work with designated business leaders with compliance responsibility and other compliance offices within the Company to concerning multi-faceted training and awareness program that focuses on key areas of compliance risk and seeks to ensure that all appropriate employees and management are cognizant of their legal duties under applicable laws and corporate policies.
Conduct legal training to sustain the Company’s confidence in local compliance and to ensure vigilance against non-compliance with a strong focus on the Anti-Bribery Act, anti-trust laws and data protection laws in all relevant jurisdictions.
Lead project teams in implementing complex, cross-functional ethics and compliance initiatives to include corrective and preventive measures.
Organize ethics and compliance records, documents and files and maintain document databases
Maintain a current working knowledge of various laws, regulations, and industry guidance that impact the affiliate/cluster-wide compliance program.
Represent and promote the development of strategic compliance programs and support the commercial team on compliance with Elanco’s policies and procedures.
Reinforce the “tone at the top” to help to form a culture of sustainable compliance environment and adherence to all applicable policies and procedures.
Qualification & Experience
Qualified Company Secretary, member of the Institute of Company Secretaries of India (mandatory)
Bachelor Degree in Law.
Approximately 10 years total post qualification experience
Skills & Knowledge
Must possess strong domain knowledge and understanding of Corporate Laws, Corporate Governance, contract Laws, registration, stamping, FEMA, etc.
Hands on experience in company law compliance, drafting contracts.
Demonstrated skills in providing strategic advice and leadership, including the ability to persuade and influence decision‐making
Pragmatic, solution-oriented attitude
Excellent communication skills in English (spoken and written).
Self-motivated, hard-working, detail-minded, clear thinker, quick learner, team player and ability to work independently under pressure with minimum supervision.
Strong team player skills and attitude.
Sound business acumen, strong enterprise leadership, commercial awareness and business oriented, ability to identify and resolve legal issues quickly and effectively, ability to provide solution-oriented legal advice.
Leadership and effectiveness in working with senior management to find innovative solutions to existing and emerging challenges
Proven experience in taking a stand, constructive confrontation and challenging leadership as appropriate.
Clear capability to collaborate cross‐functionally and within legal function, in the context of both supervisory and non‐supervisory relationships.
