JSW Hiring for JSW Steel – Manager – Company Secretary – LLB at Navi Mumbai, Maharashtra, India Full Time

• Designated Company Secretary of JSW Techno Projects Management Limited & its Subsidiaries and acting as Compliance Officer.
• Managing and ensuring Compliances of group companies, including Public/Private Limited, Joint Venture and Section 8 Companies.
• Compliance under various laws i.e. Companies Act, Stamp Act, SEBI, FEMA, RBI, NBFC, group policies, and other corporate laws including timely filings.
• Providing support to the finance team for raising of various loans / issue of debentures/redemption of debenture for listed/unlisted group companies, including debt restructuring for promoter funding and project financing and ensuring compliances under applicable corporate laws including compliances stated under legal documents.
• Review of Financing Documents i.e. Term Sheet, Facility Agreement, Loan Agreement, Deed of Hypothecation, Mortgage Deed, Pledge Agreement, Security Trustee Agreement etc. Consolidation of comments, negotiating and finalising of documents and coordinating for execution of the same.
• Develop & Update MIS on a periodic basis.
• Active support to the Accounts Team for closure of financials and preparation of multiple reports.

Key Result Areas (Key Performance Indicators)

• Act as Company Secretary /Compliance Officer and Managing and ensuring Compliances of group companies, including Public/Private Limited, Joint Venture and Section 8 Companies.
• Conducting Board/ Meetings/General Meetings of group companies.
• Compliance under various laws i.e. Companies Act, Secretarial Standards, SEBI Regulations, FEMA, RBI, NBFC, Stamp Act & other Corporate Laws.
• Review of Financing Documents i.e. Term Sheet, Facility Agreement, Loan Agreement, Deed of Hypothecation, Pledge Agreement, Mortgage Deed, Security Trustee Agreement etc. Consolidation of comments, negotiating and finalising of documents and coordinating for execution of the same.
