Job Profile:
Minimum qualification: Graduate from any discipline and professional qualification : Company secretoryMinimum experience : 5 to 6 yearsEnsure compliance as per the Companies Act & Rules, Secretarial Standards, MCA circulars etc. Independently handling MCA e-filings/ returns, updating the company registers etc.Conducting and Coordinating the Board/ Committee and Shareholders meeting and drafting of notices, agenda, minutes, Director’s report, etc for the meeting.Ensure compliance under FEMA regulations. Filing of ECB documents, respond to RBI survey, filing FC-GPR, unhedged foreign currency exposures etc.Liasoning with Banks and assisting the Magna Treasury team for updating bank signers, KYC of signatories, External Commercial Borrowings (ECB) etc.Responsible for renewal of Company registrations (IEC, RCMC, LEI, etc) and liasoning with divisions for updating/ renewal of registrations.Extending support and guidance to Divisions for execution of CSR agreements (with support of legal), reviewing of NGO documents and ensuring timely compliance of the activities.Independently handling the compliance management tool (ENFORCE PLUS) and to act as the Admin to the tool.Act as a Statutory Audit co-ordinator.Extending support to Sister concern for all Companies Act & FEMA related matters.Holding meeting for Company’s Gratuity Trust and Liasoning and maintaining confidentially of documents related to the Gratuity Trust.
