Essential: – Bachelor’s degree in law (LLB/LLM) with reputed College/University

Desired: – CS ( desirable)

Knowledge: Contract Management in Mid/Large corporates, Contract negotiation and execution,

able to handle litigation, Knowledge of IP (Patent/Copyrights) filling, MCA/RBI Compliance, Labour Law

compliance

Subject Knowledge, zeal to keep abreast of all new developments, hard-working, professional approach,

result-oriented, ability to take up responsibilities, work together in a team environment. Should have ability to

read and speak Kannada.

Working Experience of 3 to 5 years in any reputed Law Firm/ organization of repute. Practical knowledge

of litigation process.

Candidate will be responsible to handle following activities

• Drafting and vetting of various contracts

and legal documents

• Supporting Different teams in negotiation in Contract terms
• Compliance with

regulatory requirements as may be applicable i.e. MCA/RBI and others

• Coordinating with External Law

Firms in updating status of various legal cases

• appearing/visiting before courts or government offices as

may be required for pending legal matters

• Conducting/ devising training program to various teams on

contracts terms or other policy matters

• To support in filling IP with the help of consultants and advising

concerned team about IP.

• Ensure enforcement of various policies in contract terms entered by company

Specific Duties

Able to handle all legal activities independently and efficiently.

• Management of legal function and all activities connected therewith.
• Drafting and vetting – Corporate Guarantees / Contracts / Lease Deeds / Leave and License

Agreements / Deeds of Indemnity / Warranty Deeds / Power of Attorneys / Service Agreements /

Non-disclosure Agreements / Memorandum of Understanding / Transaction related agreements etc.

• Review of Contracts / Agreements, Tender Documents, and negotiation with the relevant vendors

for finalization

• Issuing & replying to legal / statutory notices, counters, company petitions
• Litigations – Initiating and defending cases for and against the Company – Recovery Suits,

Arbitration, Labor Matters including effective management of all cases and providing periodical

updates to the Management, Out of court settlements – wherever feasible in the interest of the

Company, including liaison with Advocates / Law Firms on various matters

• Appearance before Courts, Tribunals and regulatory authorities
• Providing professional and strategic advice to the Management / departments on various matters.
• Handling statutory compliance, Corporate Governance, Due-diligence matter
• assisting in administration of Export Control Regulations of TMEIC.
• Any other activities as may be assigned by management.
• Compliances under Companies Act and other allied Acts, Secretarial Standards issued by ICSI,

including tracking amendments / notifications / circulars issued by the regulatory authorities and

developing action plan on various matters for effective implementation

• Creating awareness to management / board on new regulatory requirements
• Policies – framing of policies required under Companies Act , administration / implementation to

ensure compliance with the applicable regulations

• Statutory Filings / Records – filing of forms / returns with Statutory Authorities, within the

prescribed timeline and maintenance / up-dation of statutory registers / records

• Liaison activities – with the officials of the statutory / regulatory authorities viz., Registrar of

Companies,

• Coordinating with Group Companies in enforcement of global policies
