Manager – Secretarial

Responsibilities

• ACCOUNTABILITIES & RESPONSIBILITIES

Accountabilities Activities

• Board & Committee Meetings/General Meetings
• Support in drafting/preparation of Board and Committee agenda Notes, Notice, Minutes, Circular Resolutions, of Nayara Energy and/or its subsidiaries,
• Co-ordination for pre and post meeting compliances/arrangements
• Co-ordination for compliances related to foreign subsidiary.
• CSR and Statutory Compliances
• To refine the CSR content in the Board report of Nayara Energy.
• To co-ordinate with the CSR Team in respect of the content to be stated in the CSR Annexure forming part of the Board Report and other matters related to CSR.
• Special Projects
• To support in handling of special projects being undertaken by / within Secretarial department.
• Statutory compliance
• Managing Secretarial Audit every year / half year or for any other period as scheduled.
• Co-ordinating with and responding to queries of Statutory auditors
• Maintenance of statutory registers
• Filing of forms with ROC
• Others
• Ability to interpret and analyse the provisions of Companies Act, Listing regulations etc.
• Tracing legislative changes in Companies Act, 2013, rules thereunder Listing Regulations and other applicable corporate laws,
• undertaking analysis of applicable compliances in various transactions,
• preparing checklists for secretarial compliance,
• Due Diligence
• Compliance tool task updation. providing support in updation of statutory compliance tool in respect of securities laws
• Automation of Secretarial functions

Qualifications

Educational Qualifications & Certifications:

Member of ICSI and graduation in any discipline (Mandatory), LLB (optional)

Relevant (Functional/Level) & Total Years of Experience: 3-5 years
