Our field, global working capital finance, represents a $5.5 trillion total addressable market that is expected to grow an additional 50% by 2026, driven by increased supply chain complexity, digitisation of the invoicing process and growing demand for longer payment terms. The Role: Peridot is looking for a Company Secretary to work in Banglore, India. Reporting to the Vice President, the primary role is to work as an in-house legal expert and compliance officer and Business Advisor to Peridot and the affiliate entities in India. The candidate will be the legal representative of the company/s perform and manages various regulatory functions like carrying incorporation of the firms, sufficing preparation and audit of business reports, filling annual returns etc. The candidate will also plays an important role as a Business Advisory to the Top Management of the company providing guidance with respect to compliance with regulations; corporate governance; strategic management; project planning; capital markets & securities laws.
How You Will Make an Impact:
To initiate and carry incorporation procedures like authenticating documents and proceedings used in registr ation ;
Obtaining government approvals; complying with regulatory procedures of Industrial disputes; FEMA Act; State Insurance Act; Depositories Act 1996; Foreign Exchange Management Act; monitoring and complying with various legal laws like Labour laws; Competition Laws; Environmental laws, etc.
Advising authorities and the Top Management in risk management; business policies and strategies; corporate social responsibilities; ensuring healthy communication between stakeholders; authorities and government.
Should have experience in fund infusion/ fund raising processes – Tax related, RBI related and should be aware of Banking rules & regulation (preferably having a sound knowledge of India and global tax rules & regulations)
To handle company audit and certification services and to investigate cases of taxation and corporate affairs.
To draft and write business correspondences
Provide regulatory, financial and/or strategic advice during and outside of meetings
Provide relevant corporate secretarial support to the Top Management
Keep up to date with any regulatory or statutory changes and policies that might affect the organization
Ensure that policies are up to date and are approved
Act as a point of contact and building good relationships with shareholders
Implement processes or systems to help ensure good management of the organization or compliance with legislation
To undertake other ad-hoc assignments and/or as assigned by the Management.
What You Bring to the Team:
Should have a Company Secretary Degree.
Candidate with 7+ years of experience in the corporate secretarial practice, exposure in MnC companies.
An approved member of Institute of Company Secretaries of India ( ICSI) & Performs functions defined by the Institution and follows rules and regulations defined under the Companies Act in operation will be an added advantage
Excellent command of written and spoken English.
Good interpersonal skills, communication skills and influencing skills.
Able to work independently and cope with tight timeline.
Governance expertise ‘go to’ person for governance issues.
Excellent organizational knowledge.
Planning and time management skills.
Meticulous attention to detail
Possesses integrity, independence and a sense of solid judgment.
Genuine interest in business with commercial sense.
Hands on with flexible and practical approach to work.
