Job overveiw:
We are hiring a Company Secretary to ensure the company’s compliance with all legal and regulatory requirements. This is a full-time position based in Jaipur, Rajasthan, India, and requires 1 to 3 years of experience as a Company Secretary. The selected candidate will be responsible for handling various secretarial and legal tasks to support the smooth functioning of the organization.
Qualifications And Skills
Minimum 1 year of experience as a Company Secretary
Membership of the Institute of Company Secretaries of India (ICSI)
Strong knowledge of Companies Act, SEBI regulations, and other relevant laws and regulations
Excellent communication and interpersonal skills
High attention to detail and strong organizational skills
Ability to work independently and handle multiple tasks efficiently
Proficiency in MS Office and other relevant software
Proactive approach towards problem-solving
Roles And Responsibilities
Ensure compliance with all legal and regulatory requirements applicable to a Non-Banking Financial Company (NBFC)
Manage board meetings, general meetings, and committee meetings by preparing agendas, taking minutes, and maintaining records
Prepare and review legal documents, contracts, and agreements to ensure they are in compliance with the laws
Maintain all statutory records and filings, including annual returns, board resolutions, and other secretarial documents
Monitor changes in relevant laws and regulations and advise the management on any impact on the company’s operations
Coordinate with external legal advisors and agencies for legal matters
Assist in the formulation and implementation of company policies and procedures
Handle matters related to corporate governance, including the appointment and removal of directors
Manage the company’s shareholding records and handle share-related transactions
Perform any other secretarial and legal tasks as required
