Job Description

Manage the Company Secretarial function including Company law administration & compliance, Board meetings administration including agenda preparation & circulation, resolutions and minutes management, ROC compliances and all other related areas.
Overseeing all secretarial aspects.
Ensure all Regulatory filings
Contract management – Drafting, reviewing, negotiating and vetting contracts and various types of legal documents including financial, purchasing contracts, RFPs, LOI, MOUs, NDA, RFI, lease, license and other regular business contracts. These could include both domestic and international agreements.
Liaising with external regulators and advisers, such as lawyers, auditors, government authorities, strategic partners etc.
Main co-ordinator for internal controls and process for antibribery compliance policy of Ubisoft.
Dealing with RBI, Regulatory Authorities, Statutory and internal auditors etc.
Co-ordination for STPI and custom compliance.
Well conversant with New Companies Act, 2013, SEBI Guidelines, Listing Agreement requirements and FEMA.
Strong background in advising on legal and procedural matters under the Companies Act, 2013
Aware of legal practices in formation of Companies & LLPs
Well versed with contract act.

Qualifications

Required Skills:
Required Qualification – CS and/ or LLB
Minimum 3 years of relevant experience.
Should possess very good drafting skills – Board Resolutions, Notices, Agreements, Policies, other communications, etc.
Should be well conversant with drafting of legal agreements and documents.
Should possess excellent professional written and verbal communication and inter personal skills.
Proficient in MS Office – Word, Powerpoint & Excel.
