Hetero Looking For Sr.Officer/Executive-Company Secretary at Hyderabad, Telangana, Full Time

Experience

• Demonstrated track record of 2-5 years, preferably with reputed large group / conglomerate of companies with good corporate governance principles and best practices.
• Experience in managing board, shareholders, and other stakeholders.
• Handled transactions such as mergers, demergers, acquisitions, takeovers etc.
• Expertise in using online compliance tools to monitor compliances.
• NCLT hearings, preferable.

Roles And Responsibilities

• Ensure compliance with statutory and regulatory requirements of Group Companies.
• Monitor compliances of foreign subsidiary/JV companies through online compliance tool.
• Ensure compliance while handling Acquisitions, Mergers/Demergers and liaison with relevant stakeholders.
• Prepare and maintain statutory registers, records, and filings.
• Coordinate and conduct board, committee, and general meetings.
• Act as a key point of contact for shareholders, regulators, and other stakeholders.
• Stay updated on changes in laws and regulations impacting the group companies.
• Assist in the formulation and implementation of corporate strategies and policies.
• Manage secretarial compliances under Companies Act and other applicable acts for Unlisted Public & Private Companies.
• Liaison with ROC, MCA offices and RBI.

Skills

• Good interpretational skills and interpersonal skills.
• Excellent soft skills viz., communication in both written English and spoken English
• Working knowledge in Computer applications viz., MS Word / MS Excel
