Job Description:

• Effective and efficient management of Company legal issues and to provide legal advisory services for ensuring effective management

• Working with Prolifics global team for broad variety of legal work including contract lifecycle management, software licensing, product development, corporate governance and intellectual property.

• Contract Lifecycle management to involve contract redlining, negotiation, deal finalization and archiving.

• Reviewing, drafting and negotiating several different agreements such as MSAs, NDAs, subcontractor agreements, recruitment agency agreements, marketing agreements, software licensing agreements – inbound and outbound, reseller agreements, partner agreements, EULAs.

• Collaboration on RFPs/RFIs with the business and working on various related actions for support of these transactions.

• Reviewing, preparing standard templates for commercial transactions and learning Prolifics business model, including legal and business related requirements.

• Collaborate and co-ordinate with internal stakeholders such as finance, procurement, marketing, engineering and business unit teams as necessary to support process transactions to address corporate policies/processes and legal issues as they arise.

• Working on special project assignments and due diligence.

• Advising the executive team on risk mitigation for commercial projects

• Streamlining the legal management function and co-ordination with internal stakeholders

• Liability insurance and risk management

• Ensuring effective e-signature processes
