Overview:
PowerSchool is currently hiring a Stock Plan Administrator to help administer and mature our Equity and Stock programs. As a publicly traded company, we believe a strong equity offering to our team members is critical to our success in attracting and retaining top talent, to help drive the achievement of business objectives, and to reward the individuals in a meaningful manner. The right individual will be able to step in and provide hands-on support to our existing plan and will be key in laying out the roadmap and strategy in elevating our plan design and offerings. The expectation for the candidate filling this role to be able to flex working hours to align with North America.
Responsibilities:
What You’ll Do – Core Responsibilities:
Manage day-to-day administration of PowerSchool’s equity incentive program by leveraging our 3rd party equity administration and transfer agent vendors and platforms (Fidelity and AST); serve as System Administrator, leading the monitoring and troubleshooting of all data and integration feeds
Ensures equity plan transactions (including but not limited to grants, exercise, vesting schedules, demographic, and employment changes) are processed correctly and in a timely manner (frequently reconciles and performs auditing procedures relating to equity transactions to ensure accuracy)
Perform data entry (including grant loads and future equity tracking) and manage daily and cyclical stock administration processes for reviewing terminations; assist efforts to grow and scale the stock administration function, including but not limited to enhancing existing manual processes and collaborating with Finance, Accounting, Legal, the SEC REporting Team, and Payroll partners to update workstreams in to automated processes
Implement and lead RSU and all future SBC plans
Ensures compliance by compiling and providing data for month-end accounting processes, assisting with proxy filings, ad-hoc compliance reviews, and other SEC requirements (coordinates with Legal to maintain the insider trading list, set insider restrictions in the equity management system, and manage company blackouts)
Ensures Sarbanes-Oxley controls are followed and compiles supporting documentation for testing and compliance; assist with internal and external audits as needed
Prepares periodic equity reporting, and provides data and analysis related to Executive and Board equity holdings
Manages communication with current, former and potential employees about equity compensation. This includes facilitating period educational sessions, presentations, and communications to promote an understanding of the Company’s equity program and policies (manage and update internal resources on Huddle)
Work across multiple functional teams and with internal/external stakeholders on varying initiatives and programs, including compliance, tax, etc.
Maintain an effective partnership with Finance, Accounting, Legal / Compliance, Payroll, HR and Tax
Assist in preparation of SEC filings and preparation of Section 16 forms
Prepare custom reports
Qualifications:
What You’ll Bring – Ideal Experience:
Bachelor’s degree
CEP designation a plus but not required
5-7 years of stock administration experience or Accounting/Finance with 3 years in a publicly traded company
Experience managing global equity plans for a growing public company
Extended experience with building employee education and training
Experience with different equity award forms, i.e., RSU, PSU, ISO, and ESPP
General knowledge of global equity taxation
Ability to work autonomously with a high degree of business and legal judgement, demonstrating the ability to lead projects
Enjoys problem-solving, is detail-oriented, self-driven, and an excellent collaborator
Excellent analytical and data visualization skills
Strong organizational skills
Influence in a fast-paced environment
Excellent interpersonal skills and outstanding presentation skills with experience presenting to all levels of management
Ability to work with formulas, pivot tables, and other features of Excel and experience using Shareworks, Carta, Fidelity, or E*Trade
Demonstrated ability to manage competing priorities, adhere to tight deadlines, and build/improve processes
