Corporate Governance- Executive shall be assisting and supporting over all Secretarial and Legal functions of the department such as preparation of agenda, minutes, Board Meeting compliances, stock exchange compliances, vetting of legal agreements, preparation of Annual Report, related disclosures and any other project based work that may be assigned. The person shall assist in ensuring that the Company is compliant with all the applicable laws and regulations and there is zero default on the Compliance front.ROLE DESCRIPTION
- Ensure various Stock Exchange Compliances on BSE and NSE on quarterly and half yearly basis such as :
Corporate Governance ReportShareholding PatternInvestor grievance ReportReconciliation of Share Capital Audit ReportCertificate under Reg. 40(10)Certificate under Reg. 7(3)Related Party Disclosure under Reg. 23(9)Certificate under reg. 74(5) of the SEB DP Regulations, 2018
- Timely filing of various forms and maintenance of statutory registers
- Assisting in Preparation of agenda, minutes, resolutions, Board Report and annexures, Corporate Governance Report and other related disclosures required for compilation of Annual Report
- Handling trademark related activities and coordinating for the same
- Ensuring Pre-Board Meeting and Post- Board Meeting Compliances
- Coordinating with RTA for various statutory requirements.
- Working in co-ordination with Team for statutory store licenses and certificates
- Updating Company Website in compliance with the applicable laws
Reporting to: Company Secretary & Compliance OfficerQualification: CS and LLB (Pursuing LLB or in final year)Experience:1 or 2 years experience in a listed entity. Experience in Retail Industry would be an added advantageTechnical Skills: Excellent knowledge, interpretation and application of Companies Act, 2013 and the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and keeping abreast of all latest developments and amendments in the applicable laws, strong command on legal language and good drafting skills.Behavioral Skills: Excellent communication skills, Diligence, Eye for detail, Result Oriented, Interpretational Critical and Analytical thinking, hardworking,Job Type: Full-timePay: xe2x82xb915,000.00 – xe2x82xb945,000.00 per monthBenefits:
